General Terms and Conditions (GTC)

1. Scope
These General Terms and Conditions (GTC) apply to all business relationships between Quickzii Delivery GmbH (hereinafter “Quickzii”) and its business customers (hereinafter “Customer”), in particular in the context of parcel and food deliveries for platform partners, unless otherwise expressly agreed in writing.
2. Services
Quickzii provides delivery services in the areas of parcel logistics and food delivery within the B2B sector. Deliveries are carried out on behalf of partner companies via integrated platform solutions. Delivery is performed either by Quickzii’s own drivers or – if necessary – by contracted subcontractors.
3. Conclusion of Contract
A contract for delivery services is concluded through integration via a partner’s platform solution.
By submitting the order, the customer accepts these GTC.
4. Delivery Times & Execution
• Deliveries take place daily between 8:00 a.m. and 12:00 a.m.
• Delivery is made to the address specified by the customer.
• If delivery is not possible due to incorrect or incomplete information, the customer bears the resulting costs.
• Partial deliveries are permissible insofar as they are reasonable for the customer.
5. Prices & Payment Terms
• Remuneration is based on a separate contractual agreement with the respective platform partner or client.
• Payment is made exclusively by bank transfer to the business account specified by Quickzii.
• Unless otherwise agreed, invoices are payable without deduction within 14 days of receipt.
6. Cancellations
• Cancellations free of charge are possible up to 24 hours before the scheduled delivery time.
• For later cancellations, the full delivery fee will be charged.
• Cancellations must be made in writing or electronically.
7. Liability & Insurance
• Quickzii is liable for damages only in cases of intent or gross negligence.
• In cases of simple negligence, Quickzii is liable only for breaches of essential contractual obligations (cardinal obligations), limited to the typical, foreseeable damage.
• Liability for loss of profit or indirect damages is excluded.
• Quickzii maintains business liability insurance, BG Verkehr insurance, and logistics insurance. The exact scope of coverage is determined by the insurance terms of the respective insurers.
• Any further liability is excluded to the extent permitted by law.
8. Data Protection
Quickzii processes personal data solely in accordance with the applicable General Data Protection Regulation (GDPR) and supplementary national provisions.

9. Final Provisions
• The law of the Federal Republic of Germany applies exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
• The place of jurisdiction – where legally permissible – is Quickzii’s registered office in Berlin.
• Should individual provisions of these GTC be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.
